These Terms of Service ("Terms") govern your use of AssetForge, an online marketplace connecting Creators and Buyers, operated by OriginForge Studio Ltd, a company registered in England & Wales (Company No. 17250692), registered office details available on request via contact@originforgestudio.co.uk.
By creating an account, uploading a clip, or purchasing a licence on AssetForge, you agree to these Terms. If you don't agree, please don't use the platform.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an AssetForge account. By using AssetForge, you confirm that you meet this requirement.
AssetForge is an online marketplace connecting two types of users:
We do not produce, direct, or commission the Content ourselves.
When you upload Content to AssetForge as a Creator, you confirm that:
You remain personally responsible for the legality and rights-clearance of everything you upload. AssetForge does not independently verify ownership, consent, or rights clearance before a clip is listed.
When you upload a clip, our system automatically generates a watermarked preview and a thumbnail image, and lists the clip on the marketplace once processing completes. The original, unwatermarked file is stored privately and is only made available to a Buyer after a completed purchase.
Unless otherwise stated at the point of purchase, each purchase grants the Buyer a perpetual, worldwide, non-exclusive licence to use, edit, reproduce, and incorporate the purchased Content into their own commercial and editorial projects, including advertising, broadcast, and online use.
A purchase does not transfer copyright ownership of the Content to the Buyer - the Creator retains underlying ownership, and the Buyer receives a right to use the clip as described above.
Buyers may not resell, redistribute, or relicense the raw, unwatermarked clip file itself as a standalone product to third parties.
AI and machine learning: unless explicitly stated otherwise at the point of purchase, purchased Content may not be used to train artificial intelligence or machine learning models.
No warranties on suitability: AssetForge does not guarantee that any uploaded Content is suitable for a Buyer's intended purpose. Buyers are responsible for determining whether purchased Content meets their own requirements before use.
All payments on AssetForge are processed via Stripe, including Stripe Connect for Creator payouts. AssetForge does not directly collect or store Buyers' card details or Creators' bank account details - these are handled entirely by Stripe under its own terms and privacy practices.
On each completed sale:
Creators are solely responsible for declaring and paying any tax due on their AssetForge earnings. AssetForge does not withhold tax, provide tax advice, or treat Creators as employees or workers. Buyers are responsible for any VAT, import duty, or other taxes applicable in their own jurisdiction in connection with a purchase.
Pricing errors: AssetForge reserves the right to cancel and refund any purchase that results from an obvious pricing or technical error.
Because Buyers receive immediate digital access to a purchased clip, purchases are generally non-refundable once the download has been made available. Where a genuine issue exists - for example, a clip that is materially different from its listing, or a rights/compliance issue with the Content - please contact contact@originforgestudio.co.uk and we will review the matter on a case-by-case basis, acting reasonably.
AssetForge reserves the right to remove any Content from the marketplace, acting reasonably, including where we receive a credible complaint regarding rights ownership, privacy, or compliance with our Shooter Guidelines. Where we receive a copyright or rights complaint, we may temporarily disable access to the Content in question while we investigate, before reaching a final decision.
If you believe a clip on AssetForge infringes your rights or breaches applicable law, please contact us at the email address above with details, and we will investigate.
Content review on AssetForge currently relies on Creator self-certification at the point of upload, our published guidelines, and responses to reports - it is not independently verified or automatically scanned by AssetForge prior to listing.
You agree not to:
We may suspend or terminate your account, acting reasonably, if we believe you have breached these Terms, applicable law, or our Shooter Guidelines. We may also permanently ban users who attempt to evade a previous suspension by creating a new account. You may stop using AssetForge at any time. Suspension or termination does not affect completed transactions or rights already granted to Buyers before that point.
If you close or delete your account:
The AssetForge name, branding, website design, and platform software are the property of OriginForge Studio Ltd and may not be copied or reused without permission. Ownership of individual uploaded Content remains with the Creator, subject to the licence granted to a Buyer on purchase as described in Section 4.
We do not guarantee that AssetForge will be available at all times, uninterrupted, or error-free. We are not liable for any interruption, delay, or failure caused by circumstances outside our reasonable control, including outages or failures of third-party services we rely on, such as Google Firebase or Stripe.
AssetForge is provided on an "as is" basis. To the fullest extent permitted by law, OriginForge Studio Ltd is not liable for any indirect, incidental, or consequential loss arising from your use of the platform, including loss arising from Content uploaded by Creators, rights issues with Content, or service interruptions. Nothing in these Terms excludes liability that cannot be excluded under English law, including liability for fraud or for death or personal injury caused by negligence.
Creators agree to indemnify OriginForge Studio Ltd against any claims, losses, or costs arising from Content they upload in breach of these Terms - for example, if a Creator uploads Content they falsely claim to own, and a third party brings a claim against OriginForge Studio Ltd as a result, the Creator agrees to be responsible for that claim.
We may update these Terms from time to time, for example as the platform's features develop. We will update the "Last updated" date above when we do. Continued use of AssetForge after a change constitutes acceptance of the updated Terms.
These Terms are governed by the laws of England & Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England & Wales.
